Partner & Supplier Code of Conduct

Under its purpose of “bringing people and society closer through diagrams,” ZUKAI Inc. (“the Company”) creates positive social and environmental impact through its business activities and promotes collaboration with trusted partners. This code sets out the matters for which we ask the understanding and cooperation of the partners and suppliers who provide goods or services to the Company, as well as the entire supply chain—including the subcontractors and business partners those partners and suppliers use. We kindly ask for your understanding of and cooperation with the items below.

1. Compliance with laws and social norms

Partners and suppliers shall comply with all laws and social norms applicable in the countries and regions where they operate, and conduct business with integrity and fairness. They are also asked to work to prevent legal violations and misconduct in advance, and to put in place a structure that allows for a prompt response should any problem arise.

  1. (1)Prohibition of bribery, unfair competition, and conflicts of interest
  2. (2)Complete severance of any relationship with anti-social forces
  3. (3)Elimination of false or misleading representations

2. Respect for human rights

Partners and suppliers shall respect the human rights of each employee and stakeholder and treat them with dignity.

  1. (1)Prohibition of child labor, forced labor, and human trafficking
  2. (2)Ensuring a workplace free of discrimination and harassment
  3. (3)Respect for freedom of association and the right to collective bargaining

We place importance on ensuring healthy ways of working in which human dignity is not undermined by excessive burdens or opaque operations—including in intellectual and creative work.

3. Health and safety

To protect the safety and health of employees and everyone involved in the work, partners and suppliers are asked to carry out appropriate occupational health and safety management and to prevent accidents and health hazards before they occur.

4. Consideration for the global environment

Partners and suppliers shall recognize the impact of their business activities on the environment and strive toward initiatives that help realize a sustainable society.

  2. (2)Reduction of energy use, resource consumption, and waste
  3. (3)Adoption of environmentally conscious materials and methods where possible

5. Information security and information management

Partners and suppliers are asked to recognize the importance of the information they handle in their work, and to manage and protect it appropriately.

  1. (1)Appropriate handling of personal and confidential information in accordance with applicable laws
  2. (2)Prevention of unauthorized access and information leaks
  3. (3)Prompt reporting in the event of an incident and implementation of measures to prevent recurrence

6. Fair dealing and partnership

Partners and suppliers shall strive to build fair and honest trading relationships that do not rely on one-sided power dynamics.

  1. (1)Conducting fair, equitable, and transparent transactions
  2. (2)A sincere attitude toward dialogue and cooperative resolution when issues or risks arise

7. Continuous improvement and a cooperative attitude

Partners and suppliers shall understand the intent of this code, work toward continuous improvement, and cooperate in building a healthy partnership with us.

  2. (2)Cooperation with the provision of information and verification as needed

If a serious violation of this code is found, the Company may request corrective action or review the terms of the transaction.
